Terms of Use

Please read these Terms of Use ("Terms") carefully before using the Easipass platform ("Platform", "Service", or "App"). By accessing or using Easipass, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
These Terms constitute a legally binding agreement between you ("User", "Organiser", or "you") and Easipass ("we", "us", or "our"), operated in Australia.
1. Definitions
"Platform" means the Easipass application and all associated software, services, and features.
"Organiser" means a business or individual who uses Easipass to create, manage, and sell tickets for events.
"Ticket Purchaser" means an end customer who purchases tickets through an Organiser's ticketing service powered by Easipass.
2. Eligibility
By using Easipass, you represent and warrant that:
- You are at least 18 years of age;
- You have the legal capacity to enter into binding contracts under Australian law;
- You are using the Platform for lawful purposes only; and
- If you are accepting these Terms on behalf of an organisation, you have authority to bind that organisation.
3. The Platform
3.1 What Easipass Provides
Easipass is a white-label ticketing platform that enables event organisers to manage and operate their own ticketing services. The Platform provides tools for event creation, ticket sales, attendee management, and reporting.
3.2 Your Ticketing Operations
As an Organiser, you acknowledge that:
- You are solely responsible for the events you create and manage on the Platform;
- You are solely responsible for the accuracy of event information, ticket pricing, and terms communicated to Ticket Purchasers;
- Easipass acts as a technology provider only and is not a party to any transaction between you and your Ticket Purchasers; and
- You must comply with all applicable Australian Consumer Law obligations in connection with ticket sales.
3.3 Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at gavin@easipass.xyz if you suspect any unauthorised use of your account.
4. Ticket Purchases
4.1 Ticket Sales
Easipass enables Organisers to sell tickets to their events directly to Ticket Purchasers. All ticket prices are set by the Organiser and displayed in Australian Dollars (AUD). Easipass is not a party to any ticket purchase transaction between an Organiser and a Ticket Purchaser.
4.2 Payment Processing
Ticket payments are processed securely through our third-party payment provider. By purchasing a ticket through the Platform, Ticket Purchasers authorise the charge to their nominated payment method for the amount displayed at checkout.
4.3 Organiser Responsibility for Refunds
The Organiser is solely responsible for processing refunds to Ticket Purchasers. This includes refunds arising from event cancellations, postponements, or any other circumstance. Organisers must establish and communicate a clear refund policy to their Ticket Purchasers and must comply with all applicable obligations under the Australian Consumer Law, including any entitlement to a refund for a major failure.
Easipass has no liability to Ticket Purchasers in connection with refunds. Any refund requests from Ticket Purchasers must be directed to the relevant Organiser.
5. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law or regulation;
- Create fraudulent, misleading, or deceptive events or ticket listings;
- Engage in any activity that could harm, disrupt, or impair the Platform or its users;
- Attempt to gain unauthorised access to any part of the Platform;
- Reverse engineer, decompile, or disassemble any part of the Platform; or
- Use the Platform in a way that infringes the intellectual property rights of any third party.
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.
6. Intellectual Property
All intellectual property rights in the Platform, including its software, design, trademarks, and content, are owned by or licensed to Easipass. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited licence to use the Service as described herein.
You retain ownership of any content or data you upload to the Platform ("Your Content"). By uploading Your Content, you grant Easipass a non-exclusive, royalty-free licence to use, store, and process Your Content solely for the purpose of providing the Service to you.
7. Privacy
Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection and use of information as described in our Privacy Policy.
The Platform does not collect personal information from Ticket Purchasers on behalf of Easipass. However, Organisers may collect personal information through their use of the Platform, and are responsible for doing so in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
8. Disclaimers and Limitation of Liability
8.1 No Warranty
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Easipass makes no warranty that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
8.2 Limitation of Liability
To the maximum extent permitted by the Australian Consumer Law and other applicable legislation, Easipass's total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform will be limited to the fees paid by you to Easipass in the three (3) months preceding the event giving rise to the claim.
Easipass will not be liable for any indirect, incidental, special, or consequential loss or damage, including loss of profits, loss of revenue, or loss of data.
8.3 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
9. Indemnification
You agree to indemnify, defend, and hold harmless Easipass, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or relating to: (a) your use of the Platform; (b) any event you create or manage; (c) your breach of these Terms; or (d) your violation of any third party's rights.
10. Third-Party Services
The Platform may integrate with or link to third-party services (such as payment processors). Easipass is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.
11. Modifications to the Platform and Terms
We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice where practicable.
We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Platform or by email. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.
12. Termination
We may suspend or terminate your access to the Platform at any time if you breach these Terms, or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will do so.
13. Governing Law and Disputes
These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising under these Terms.
Before initiating any legal proceedings, you agree to contact us at gavin@easipass.xyz to attempt to resolve any dispute in good faith.
14. General
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision will not constitute a waiver of that right.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Easipass regarding your use of the Platform.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
